Terms of Service

Agreement to these terms

These Terms of Service govern your use of the website at erudireworkforce.com and the customer portal at app.erudireworkforce.com (together, the "Services"), operated by Erudire Incorporated ("Erudire," "we," "us"). By accessing or using the Services, you agree to these terms. If you do not agree, please do not use the Services.

Who may use the Services

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms, and "you" refers to that organization.

What we provide

The public website provides information about Erudire and its Apprenticeship-as-a-Service offering. The customer portal lets authorized clients view program information, manage their account, and handle billing. The specific services, fees, and terms of any engagement are governed by a separate written agreement between Erudire and the client; these terms do not by themselves create any obligation to provide services.

Accounts

Some features require an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at support@erudireworkforce.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a security or legal risk.

Billing

Where the portal is used to pay for services, payments are processed by our third-party payment processor. By submitting payment information, you authorize us and our processor to charge the applicable fees. Fees, billing frequency, and refund terms are set out in your engagement agreement. Unless that agreement says otherwise, fees are non-refundable once the corresponding service has been delivered.

Acceptable use

You agree not to misuse the Services. In particular, you will not:

Intellectual property

The Services, including the Erudire name, logo, text, graphics, and software, are owned by Erudire Incorporated or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. You retain ownership of content you submit to us, and you grant us the right to use that content only as needed to provide the Services.

Third-party services

The Services rely on third-party providers for functions such as authentication, hosting, and payment processing. Your use of those features may also be subject to the providers' own terms. We are not responsible for third-party services we do not control.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Information on the public website is provided for general informational purposes and is not professional, legal, or financial advice.

Limitation of liability

To the maximum extent permitted by law, Erudire Incorporated will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you have paid us nothing.

Indemnification

You agree to indemnify and hold harmless Erudire Incorporated and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these terms.

Termination

You may stop using the Services at any time. We may suspend or end your access to the Services if you violate these terms or if we discontinue the Services. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the Services will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

Assignment

You may not assign or transfer these terms or your rights under them without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets, or to an affiliate. These terms bind and benefit each party's permitted successors and assigns.

Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, outages of third-party services or infrastructure, labor disputes, or government action.

Notices

We may send you notices by email to the address associated with your account or by posting them on the Services. You can send us notices at support@erudireworkforce.com.

Entire agreement and severability

These terms, together with any engagement agreement and any policies referenced here, are the entire agreement between you and Erudire regarding the Services and supersede any prior agreements on that subject. If any provision is found unenforceable, the rest will remain in effect, and the unenforceable provision will be modified only as much as needed to make it enforceable. Our failure to enforce any provision is not a waiver of it.

Changes to these terms

We may update these terms from time to time. When we do, we will update the effective date at the top of this page. Material changes will be communicated through the site or by email where appropriate. Continued use of the Services after a change means you accept the updated terms.
